Terms of service

1. Who this is between
These terms are between you, the business connecting a HubSpot portal, and Better Call Birdman (KvK 84948396), which operates Tendal. Connecting a portal means you accept them.
Tendal is sold to businesses. If you are buying as a consumer, these terms are not written for you and we would rather you did not.
2. What the service is
Tendal connects to a HubSpot portal with read-only permission, works out what the seats in it cost and what they would cost if each person were on the cheapest seat their measured activity supports, and repeats that on a schedule so you can see the number move.
Its output is advice, not instruction. Every recommendation is a heuristic over activity signals, it can be wrong, and the result names what it could not measure precisely so you can judge it. Acting on it is your decision, and changing a seat in HubSpot is something only you can do. We are not liable for what follows from a change you make.
3. Your side
- You need the right to connect the portal you connect. In practice HubSpot only lets a super admin grant the permission.
- Keep your account details to yourself. Anyone with your session can see your portal's figures.
- Do not try to break, overload or reverse-engineer the service, and do not use it to look at a portal you have no business looking at.
4. Money
The first audit is free and needs no card. Beyond that, Tendal is a subscription per connected portal, priced by portal size on the pricing page. Prices exclude VAT.
Paddle.com Market Ltd is the merchant of record for every order. They are the seller, they handle payment, VAT and invoicing, and their terms apply to the transaction itself. Annual billing on request: two months free.
If we change the price of a plan you are on, you get at least 30 days' notice by email before it takes effect, and you can cancel in the meantime.
5. Cancelling
Any time, with no notice period and no exit fee. The subscription runs to the end of the period you have already paid for and then stops.
Disconnecting a portal removes Tendal from your HubSpot account and deletes what it held; you can also remove it yourself in HubSpot under connected apps, which cuts our access immediately. Refunds are on the refund page.
We can end the agreement too, with 30 days' notice and a refund of the unused part, or immediately if the service is being used to do something illegal.
6. What we do not promise
No uptime guarantee. Tendal is monitoring, not infrastructure your business runs on: if it is unreachable for an afternoon, a scan happens later. We do not offer a service level agreement, and we would rather say that plainly than let the word "monitoring" imply one.
No guarantee of a saving. The figures depend on what HubSpot exposes to us and on your own contract, which we cannot see. A projected saving is what the numbers suggest, not a quotation.
The service is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.
7. Liability
Where liability cannot be excluded, ours is capped at the fees you paid in the 12 months before the claim. We are not liable for indirect or consequential loss, lost profit, lost data, or loss arising from a decision you took on the strength of a recommendation.
Nothing here excludes liability for fraud, for death or personal injury caused by negligence, or anything else the law does not permit us to exclude.
8. Your data
What we read, keep and delete is set out in the privacy policy and the shared data table, which form part of these terms. You keep every right in your own data; we get only the narrow permission needed to produce the audit.
9. Changes to these terms
We will email subscribers at least 30 days before a material change takes effect. Carrying on using Tendal after that means you accept it; if you would rather not, cancel.
10. Law
These terms are governed by the laws of the Netherlands, and disputes go to the courts of Amsterdam, the Netherlands. Talk to us first: most things are a misunderstanding and an email to hello@tendal.io is faster than either of us involving anyone else.
